Assessment

Our Rating

A journalistic assessment by our editorial team at the time of the deep dive — it rates the company, not the entry point. Not investment advice and not a solicitation to buy or sell.

Open questions

The business works in principle, but one material question is open. As long as it stays open, our findings do not carry a quality verdict.

Why this colour

Yellow, because a material operational question remains open: Rapport’s value rests almost entirely on RAP-219, and the placebo-controlled Phase 3 trials that will decide approval or failure are only under way or start in 2027. There is no existential risk: a preliminary $395.0 million in cash and investments (09/30/2026) plus about $410 million raised in October is expected to last through the end of 2029, well beyond four quarters. Dilution at $21 is a price issue, not a quality verdict. The decision is yours.

What the thesis turns on

Assessment: Opportunities & Risks

Rapport Therapeutics is a textbook case of the headline trap: the October 2026 mania trial was positive but narrow, the epilepsy evidence comes from an open-label study, and eight days after the data the company raised about $410 million at $21 a share. Cash is ample and is expected to last through the end of 2029 — but the value rests on a single drug whose decisive Phase 3 tests are only now under way. Not investment advice.

Clinical evidence

Mania trial met its primary endpoint (3.1-point advantage, p = 0.045; 10/20/2026); strong Phase 2a epilepsy data, but from an open-label study without placebo (10-K 2025); Phase 3 in epilepsy under way since Q2 2026.

Liquidity

Preliminary cash of $395.0 million (09/30/2026) plus about $410 million from the October 2026 offerings; runway through the end of 2029, per the company.

Costs

Operating expenses Q2 2026: $60.8 million versus $29.5 million a year earlier; about $410 million in fresh capital extends the stated runway by at most half a year.

Dilution

About 26% more shares from the offerings at $21 (09/2025: $26), up to 6.4 million more through the convertible notes, 8.0 million options (06/30/2026).

Insiders

CFO and five directors bought about $1.7 million from 10/21 to 10/23/2026, Sofinnova about $20.4 million at $21 through James Healy (Form 4 of 10/30/2026); the CEO sold under 10b5-1 plans.

Worth Noting

Rapport landed on our research list through director James Healy’s insider filing (Form 4) of 10/30/2026.

About $410 million = $215.7 million net from shares and pre-funded warrants (incl. the underwriters’ option) + $166.8 million net from the convertible notes + $30.0 million private placement (gross, 6% placement fee) per the 8-K and 424B5s of 10/30/2026; our own sum.

Share count after the offerings: 59,145,555 per the 424B5 (based on 47,955,079 at 06/30/2026, incl. the underwriters’ option) plus 1,190,476 pre-funded warrants = 60,336,031; market value computed × $25.05 (10/30/2026 close). The fundamental data’s market value (≈ $1.20 billion) uses the pre-offering share count and is not used.

Q4 2025 operating expenses = full-year 2025 ($125.1 million) minus nine months ($86.6 million); cash as of 09/30/2026 is a preliminary, unreviewed company estimate (8-K Item 2.02).

Insider totals summed from Form 4 filings of 07/01 to 10/30/2026 (shares × reported average price).

Our reading of which costs the new runway estimate includes is our own interpretation; Rapport does not itemize them.

Valuation

P/E ?Price-to-earnings ratio: how many years of profit does the stock cost? The lower, the cheaper the valuation. No earnings means no P/E. –
Forward P/E ?P/E based on expected earnings for the next 12 months instead of past earnings — analysts' bet on the future. 0.0
PEG ?P/E divided by expected earnings growth: puts valuation in relation to growth. Around 1 is considered fair, well above that is pricey. –
P/B ?Price-to-book ratio: market value relative to book equity. 3.1
P/S ?Price-to-sales ratio: market value divided by annual sales. Important for companies that aren't (yet) profitable. 59.1
EV/EBITDA ?Enterprise value including debt (EV) relative to operating profit before depreciation and amortization (EBITDA) — more comparable than P/E because debt counts too. Extreme values arise when EBITDA is near zero. 0.0
Price/FCF ?Market value divided by free cash flow: how many years of freely available cash does the stock cost? More honest than P/E because cash flow is harder to dress up. –

Profitability

Gross Margin ?Gross margin: what's left of sales after only direct production costs are deducted — the product's pricing power. -109.4%
EBIT Margin ?EBIT margin: operating profit as a percentage of sales — the earning power of the core business before interest and taxes. –
Net Margin ?Net margin: what's left of sales as profit after ALL costs, interest, and taxes. 0.0%
Return on Equity ?Return on equity: how much profit does the company generate per year on shareholders' equity? -28.3%
Return on Assets ?Return on assets: how much profit the company generates from its total assets (equity and debt combined). -25.8%

Balance Sheet & Safety

Equity Ratio ?Equity ratio: equity as a share of total assets. The higher, the more resilient the balance sheet. –
Debt/Equity ?Leverage ratio: financial debt divided by equity. Under 1 is generally seen as solid; negative values mean negative equity. 0.02
Altman Z″ ?Edward Altman's bankruptcy early-warning score. We use the Z″ variant, built from four balance-sheet ratios — it is designed for service companies and non-manufacturers and uses book value instead of market value. On that scale: below 1.1 = danger zone, 2.6 and up = safe zone, in between a grey area. Because the classic Altman Z is calculated differently, the two numbers are not directly comparable. The formula does not fit banks, insurers, or real-estate stocks. fortress balance sheet 25.10
Piotroski ?Balance-sheet health check by Joseph Piotroski: 9 yes/no criteria on profit, cash flow, leverage, and efficiency. 7+ is very solid, under 3 is a red flag. 4 out of 9

EPS Growth Last Quarter ?Growth in earnings per share in the most recently reported quarter versus the same quarter a year ago (YoY). 0.00%

What Do These Terms Mean?

EPS (Earnings Per Share):
Quarterly profit divided by the total share count — how much of the profit works out to a single share.
YoY (Year over Year):
Change versus the same quarter a year ago — this is how you compare without seasonal distortion (e.g. the holiday shopping season).
Sales:
All revenue for the quarter, before any costs are deducted — the top line of the income statement.
Net Margin:
What percentage of sales is left over as profit in the end. Negative means the company is posting a loss.
OCF (Operating Cash Flow):
The cash that actually flows into the till from the core business during the quarter — harder to dress up than book profit.
FCF (Free Cash Flow):
Operating cash flow minus capital expenditures — the money that's genuinely free to use, say for paying down debt, buybacks, or dividends.

Valuation

What is priced in?

Free cash flow over the past twelve months is negative, which rules out a serious reverse calculation. Any growth rate only makes a negative cash flow more negative; no present value comes out of it. What the price reflects here is therefore not a stream of cash flows, but the expectation that there will be one at all.

A simplified model calculation — not a forecast and not a recommendation.
