Assessment

Our Rating

A journalistic assessment by our editorial team at the time of the deep dive — it rates the company, not the entry point. Not investment advice and not a solicitation to buy or sell.

Substance risk

We found at least one documented issue that threatens the company itself — regardless of how the stock is currently valued.

Why this colour

Red, because several substance risks are documented: the quarterly report as of September 30, 2026, carries a going-concern warning, cash would last only into early 2027 per the company, and the only clinical product failed on October 30, 2026. A secured loan of $26.6 million stands ahead of shareholders. That the stock trades below book equity is a price argument, not a quality verdict — how much of it ever reaches shareholders is open. The decision is yours.

What the thesis turns on

Assessment: Opportunities & Risks

Acumen Pharmaceuticals is a textbook case of the leftover-value trap: after the Alzheimer’s trial ALTITUDE-AD failed on October 30, 2026, the stock is worth only about $15.2 million, a fifth of its $78.6 million in cash. But $51.0 million in liabilities stand ahead of shareholders, including a secured loan, plus unquantified wind-down costs and a board that proposes the path forward. Not investment advice.

Pipeline

The only clinical program failed: ALTITUDE-AD (542 patients) showed no meaningful difference from placebo at 18 months at either dose, and sabirnetug is being discontinued (8-K of 10/30/2026). What remains is the preclinical EBD program with JCR, with a filing for first human trials previously targeted for mid-2027.

Liquidity

$78.6 million in cash and marketable securities as of 9/30/2026, down from $116.9 million at the end of 2025. Going-concern warning in the 10-Q: funds last into early 2027 per the company, not twelve months. A new runway after the trial shutdown is missing.

Debt

Secured loan from K2 HealthVentures with $26.6 million owed (9/30/2026), interest of at least 9.65 percent, default right on a material adverse event; in a liquidation, the lender is paid before shareholders.

Valuation

Market value of about $15.2 million ($0.21, 10/30/2026) versus $34.6 million in equity and $27.6 million in cash after all liabilities (9/30/2026). The discount reflects unquantified wind-down costs and the company’s undecided path.

Influence over the path

The board proposes the path — sale, merger, liquidation or carrying on; on a merger, asset sale or dissolution, shareholders typically only approve or reject; a shelf of up to $500 million has been effective since 10/28/2026, and the stock trades far below Nasdaq’s one-dollar threshold.

Worth Noting

Acumen made our research list through the Reddit hype scanner (2 mentions, ApeWisdom, recorded 10/31/2026) — one day after the trial readout and the drop from $2.29 to $0.21.

Market value calculated by us: 72,327,320 shares (10-Q cover, as of 10/21/2026) × $0.21 (close on 10/30/2026) ≈ $15.2 million; consistent with the fundamental data. The last price cited in a filing (S-3: $1.98 on 10/23/2026) predates the readout.

Per-share figures calculated by us from the 10-Q as of 9/30/2026: cash $78.6M ≈ $1.09, equity $34.6M ≈ $0.48, cash minus liabilities $27.6M ≈ $0.38 per share. Costs since 9/30/2026 and wind-down costs are not included.

Annual cash used in operating activities per the SEC’s XBRL data series (10-K); cash at each date as the sum of cash equivalents and short- and long-term marketable securities. The 10-Q as of 9/30/2026 was filed on time on 10/26/2026; no amendment (10-Q/A) exists.

IPO: 11,499,998 shares at $16.00 including the underwriters’ option, registration effective 6/30/2021 — per the 2024 annual report 10-K, Item 5 “Use of Proceeds.”

Analyst price targets (average $7.60, six “strong buy” ratings, data as of 11/01/2026) clearly do not fit the situation after 10/30/2026; the data do not show whether they were revised.

Valuation

P/E ?Price-to-earnings ratio: how many years of profit does the stock cost? The lower, the cheaper the valuation. No earnings means no P/E. –
Forward P/E ?P/E based on expected earnings for the next 12 months instead of past earnings — analysts' bet on the future. 0.0
PEG ?P/E divided by expected earnings growth: puts valuation in relation to growth. Around 1 is considered fair, well above that is pricey. –
P/B ?Price-to-book ratio: market value relative to book equity. 0.2
P/S ?Price-to-sales ratio: market value divided by annual sales. Important for companies that aren't (yet) profitable. –
EV/EBITDA ?Enterprise value including debt (EV) relative to operating profit before depreciation and amortization (EBITDA) — more comparable than P/E because debt counts too. Extreme values arise when EBITDA is near zero. -0.6
Price/FCF ?Market value divided by free cash flow: how many years of freely available cash does the stock cost? More honest than P/E because cash flow is harder to dress up. –

Profitability

Gross Margin ?Gross margin: what's left of sales after only direct production costs are deducted — the product's pricing power. -26,379.0%
EBIT Margin ?EBIT margin: operating profit as a percentage of sales — the earning power of the core business before interest and taxes. –
Net Margin ?Net margin: what's left of sales as profit after ALL costs, interest, and taxes. 0.0%
Return on Equity ?Return on equity: how much profit does the company generate per year on shareholders' equity? -93.2%
Return on Assets ?Return on assets: how much profit the company generates from its total assets (equity and debt combined). -45.8%

Balance Sheet & Safety

Equity Ratio ?Equity ratio: equity as a share of total assets. The higher, the more resilient the balance sheet. –
Debt/Equity ?Leverage ratio: financial debt divided by equity. Under 1 is generally seen as solid; negative values mean negative equity. 0.4
Altman Z″ ?Edward Altman's bankruptcy early-warning score. We use the Z″ variant, built from four balance-sheet ratios — it is designed for service companies and non-manufacturers and uses book value instead of market value. On that scale: below 1.1 = danger zone, 2.6 and up = safe zone, in between a grey area. Because the classic Altman Z is calculated differently, the two numbers are not directly comparable. The formula does not fit banks, insurers, or real-estate stocks. warning zone -6.54
Piotroski ?Balance-sheet health check by Joseph Piotroski: 9 yes/no criteria on profit, cash flow, leverage, and efficiency. 7+ is very solid, under 3 is a red flag. weak 1 out of 9

What Do These Terms Mean?

EPS (Earnings Per Share):
Quarterly profit divided by the total share count — how much of the profit works out to a single share.
YoY (Year over Year):
Change versus the same quarter a year ago — this is how you compare without seasonal distortion (e.g. the holiday shopping season).
Sales:
All revenue for the quarter, before any costs are deducted — the top line of the income statement.
Net Margin:
What percentage of sales is left over as profit in the end. Negative means the company is posting a loss.
OCF (Operating Cash Flow):
The cash that actually flows into the till from the core business during the quarter — harder to dress up than book profit.
FCF (Free Cash Flow):
Operating cash flow minus capital expenditures — the money that's genuinely free to use, say for paying down debt, buybacks, or dividends.

Valuation

What is priced in?

Free cash flow over the past twelve months is negative, which rules out a serious reverse calculation. Any growth rate only makes a negative cash flow more negative; no present value comes out of it. What the price reflects here is therefore not a stream of cash flows, but the expectation that there will be one at all.

A simplified model calculation — not a forecast and not a recommendation.
